Em assembleias gerais extraordinárias realizadas nesta sexta-feira (30), as companhias aprovaram chapas únicas para a composição dos novos conselhos, que terão sete membros titulares e sete suplentes cada. Os mandatos terão duração de três anos e passarão a vigorar após a homologação do aumento de capital da Raízen.

Os credores conquistaram maioria nos dois conselhos. Para a Raízen, o indicado para presidir o colegiado é Samuel Aguirre. Já na Raízen Energia, a presidência deverá ser ocupada por Julio Cesar de Toledo Piza Neto. Também terão assentos representantes da Shell e da Aguassanta.

A participação da Aguassanta, no entanto, permanece condicionada à realização de um aporte de R$ 500 milhões na capitalização da companhia. Caso o investimento seja confirmado, Rubens Ometto Silveira Mello, da Cosan, assumirá a vaga reservada ao grupo. Se a operação não se concretizar, o assento será ocupado por Roland Alexander Ilube, indicado pela Shell.

A nova estrutura de governança reflete a reorganização dos negócios do grupo. A Raízen ficará concentrada na operação de distribuição de combustíveis e lubrificantes da marca Shell, enquanto a Raízen Energia passará a reunir os ativos de produção e comercialização de etanol, açúcar e bioenergia.

A companhia informou ainda que a atual administração permanecerá no comando até a homologação da capitalização, prevista para ocorrer até 18 de dezembro. Após essa etapa, os novos conselheiros tomarão posse e será divulgada a composição definitiva da administração.

Como parte da transição, foram indicados os executivos que liderarão as operações segregadas. Lorival Nogueira Luz Jr. comandará o negócio de distribuição de combustíveis e lubrificantes, enquanto Geovane Dilkin Consul ficará responsável pela divisão de etanol, açúcar e bioenergia.
